1. Parties

This Service Agreement (“Agreement”) is entered into between:

  • Uptime-ZA, hereafter referred to as “Provider,” and
  • [Client Name], hereafter referred to as “Client.”

The Provider agrees to provide website monitoring services as described below. The Client agrees to pay the corresponding monthly subscription fees.


2. Services Provided

The Provider will monitor the Client’s website in accordance with the selected plan:

  • Uptime monitoring (at intervals specified per plan)
  • SSL certificate expiry alerts
  • Domain expiry notifications
  • Website response time tracking (Standard and Pro plans)
  • Content change detection (Standard and Pro plans)
  • WordPress file integrity monitoring (Pro plan)

Monitoring alerts will be delivered via email, WhatsApp, or other agreed communication channels.

Note: This Agreement does not include website hosting, website repair, or content management unless separately contracted and agreed in writing.


3. Term and Termination

  • This Agreement is effective from the date of first payment.
  • Services continue on a month-to-month basis.
  • Either party may terminate with written notice.
  • Upon termination, monitoring services will cease at the end of the current billing period.

4. Payment

  • The Client agrees to pay the monthly subscription fee for the chosen plan: Basic (R69), Standard (R129), or Pro (R249).
  • Payments are due monthly in advance via EFT or other agreed methods.
  • Monitoring will be activated only after payment confirmation.
  • No refunds are issued for partial months unless agreed in writing.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate contact and website information.
  • Maintain domain registration, hosting, and SSL certificates in good standing.
  • Notify the Provider of any changes to the website, domain, or hosting environment that may affect monitoring.
  • Use the service lawfully and in compliance with applicable South African law.

6. Limitations

  • The Provider is not responsible for website downtime caused by third-party hosting providers, internet outages, malicious attacks, or force majeure events.
  • Alert delivery depends on the monitoring system and communication infrastructure; occasional delays or failures may occur.
  • Total liability is limited to the monthly subscription fee paid for the current billing period.

7. Confidentiality

  • The Provider will treat all Client information and monitoring data as confidential.
  • Data will not be shared with third parties except as required by South African law or as necessary to deliver monitoring services.

8. Dispute Resolution

  • Any disputes will be resolved under the laws of the Republic of South Africa.
  • Both parties agree to first attempt amicable resolution before pursuing formal legal action.

9. Acceptance

By submitting a monitoring request and making payment, the Client confirms acceptance of the terms of this Service Agreement.
